Scope of Agreement
  • License Grant: Gate Africa grants users a non-exclusive, non-transferable, and personal license to use our software at the specified location. This usage is limited to the number of servers or end users outlined in the License Document. By using our software, you agree to abide by the terms of this Privacy Policy and the accompanying Agreement. This license will terminate if you discontinue Maintenance and Support services.
  • Installation and Maintenance: Gate Africa will install the software and provide Maintenance and Support services as long as you continue to pay for these services.
  • Usage Restrictions: You are not allowed to rent, lease, or sub-license our software or distribute it to any third party unless expressly agreed upon.
  • Defects and Warranties: Gate Africa does not take responsibility for repairing defects in the products or third-party software. Your rights regarding defects are limited to the warranties provided by the manufacturers.
  • Security Measures: Our software may include security measures to protect Gate Africa's rights, particularly in cases of non-payment.
Maintenance and Support
  • Third-Party Software and Products: Gate Africa's Maintenance and Support services do not cover third-party software or products unless explicitly agreed upon.
  • Automatic Renewal: Maintenance and Support services automatically renew annually unless terminated by either party with three months' prior written notice.
  • Software Upgrade Commitment: You are required to upgrade to the current version of the software within twelve months following its delivery
Training and Professional Services

During the initial three months of onboarding, you will receive a weekly training allocation of 5 hours, totaling 15 hours. This training can be scheduled flexibly. Additionally, a dedicated onboarding demo day is provided to ensure a comprehensive introduction to our services.

Charges
  • Annual Invoicing: You will be invoiced on December 1 of each year for the upcoming year's subscription.
  • Invoice Due Date: Invoices are due one month after the beginning of the calendar year, specifically on February 1.
  • Charge Adjustments: Invoice amounts may change based on economic conditions to reflect current market realities and operational costs.
  • VAT: All charges are exclusive of VAT, which will be added as required by law
Customer Responsibilities
  • Compatibility: You are responsible for ensuring that your equipment is compatible with our software and any third-party software and products.
  • Access: You must provide reasonable access to your location and equipment for the installation of the software and the provision of Maintenance and Support services.
  • Prohibitions: You may not alter or modify the software, transfer it from the location, or combine or incorporate it into other programs.
  • Data Security: You are responsible for maintaining full security copies of all data processed by the software. Gate Africa is not liable for any data loss.
  • Fault Investigation: If we cannot reproduce a logged fault, you must assist by providing remote access for further investigation
  • Contact Information: You must provide the names and contacts of at least three estate managers and submit one official email for correspondence.
  • Address Database: You agree to provide a database of estate addresses for input into our addressing system.
  • Training: You must present at least one committee member for training at a Savertech office
  • Updates: You agree to provide updates and information via email to [email protected] through the official email provided
  • Onboarding Provisions: Gate Africa will provide a dedicated mobile phone for hosting the app, Gate Africa merchandise, and a dedicated account manager.
Warranties

Gate Africa will execute services professionally and in a workmanlike manner. The software is provided "AS IS." We do not provide any additional warranties beyond what is explicitly stated in this Agreement.

Confidentiality
  • Non-Disclosure: Both parties will make reasonable efforts to ensure that information received from the other party is not disclosed to any third party.
  • Permissible Disclosures: Information may be disclosed without consent if it becomes public, is already known to the receiving party, is required by law, or is disclosed to professional advisors.
  • Confidentiality Duration: Confidentiality obligations remain in effect even after the termination of this Agreement.
Intellectual Property

You acknowledge that Gate Africa and its licensors own the intellectual property rights to the software, third-party software, and products.

Termination of Agreement
  • Breach of Obligations: Gate Africa may terminate this Agreement if you materially breach any obligations and fail to remedy the breach within 30 days of notice.
  • Insolvency: Gate Africa may terminate this Agreement if you become insolvent or bankrupt.
  • Fee Payment: Upon termination, all outstanding fees become immediately due, and your rights to use the software will be revoked.
Indemnification
  • Customer Indemnity: You must defend and indemnify Gate Africa against damages, claims, and expenses arising from any breach of this Agreement by you.
  • Gate Africa Indemnity: Gate Africa will defend and settle any third-party claims asserting that our software infringes a Nigerian patent or copyright.
Force Majeure
  • Neither party is liable for failure or delay in fulfilling obligations due to unforeseeable events beyond their control, including acts of God, terrorism, government actions, adverse weather, supplier defaults, theft, strikes, or industrial action.
  • If such an event lasts more than 30 days, either party may terminate the Agreement.
Liability
  • Liability is unrestricted regarding death, personal injury, and liability that cannot be excluded by law.
  • Gate Africa is not liable for loss of profits, business, anticipated savings, or indirect or consequential loss.
  • Gate Africa is also not liable for data loss.
  • Gate Africa's liability is limited to the charges paid by you in the twelve months preceding the incident.
General
  • Gate Africa reserves the right to audit your books, records, and systems to ensure compliance with this Agreement.
  • This Agreement represents the entire understanding between the parties, superseding any prior representations.
  • Gate Africa may assign its rights and obligations under this Agreement.
  • You may not assign your rights without Gate Africa's prior written consent.
  • Only the parties to this Agreement have the right to enforce its terms.
  • This Agreement is governed by Nigerian law, and the parties submit to the exclusive jurisdiction of the Nigerian courts.
